Supermicro Raises $7B to Fund a $39B Order Backlog — Stock Drops 13% the Same Day
Too many orders to fill — so it diluted itself to pay for them.

On June 9, Super Micro Computer (SMCI) announced $7 billion in equity and equity-linked financing to buy the components needed to build AI servers. The structure: $5 billion in underwritten public offerings (roughly $1.25 billion of common stock plus about $3.75 billion of depositary shares, each with a $50 liquidation preference), plus an at-the-market offering of up to $2 billion. JPMorgan Chase, Goldman Sachs, and Citigroup are arranging the deal.
The cash exists to clear a $39 billion pile of orders. The company said it received roughly $39 billion in AI server orders from more than 20 customers in recent weeks — but doesn't have the cash on hand to front that many components (GPUs, memory, chassis). Issuing stock is how it closes the gap.
The market's first reaction was to vote with its feet: SMCI fell 13% on June 10, the day after the announcement. Dilution is an obvious short-term negative for existing holders. But the next day, June 11, the stock bounced back 9.22% to close at $31.97 — investors decided the dilution was buying real, booked revenue.

This sounds awkward, but it's exactly the reality of the AI hardware business. Supermicro isn't short on orders — it has too many, and not enough cash to front them. To ship $39 billion of gear, it has to buy Nvidia's GPUs, Micron's memory, and piles of chassis and fans first, assemble them, and only then collect the balance from customers. That timing gap is the $7 billion hole. It would rather take a 13% hit on day one than let the money wait, because orders don't wait — say no today, and the customer calls Dell and HP tomorrow. That's why the entire AI supply chain is raising money like mad right now: not to expand, but just to fund the working capital of staying operational. A company that "assembles" boxes has been forced to become half an investment bank.
